The Bylaw Committee met Monday, November 25, 2024 virtually via Zoom. The meeting was called to order at 3:19 p.m. Present: Chairman Jeff Apana, Janet Clippard, Scott Whitney, and President Hawley.

A motion was made and carried to approve the minutes of the 3/7/23 meeting.

Discussion of a proposal from the Board of Directors to amend the bylaws Article VII Section 2 regarding financial controls:

Whereas the Executive Board no longer meets physically each month, and
Whereas Local officers often live geographically distant from one another, and
Whereas, a requirement of two signatures on checks restricts the use of electronic payments, and
Whereas checks and balances on financial expenditures are still necessary and encouraged by federal labor law, be it
resolved that the Bylaws be amended as follows:

Article VII Officers

Section 2. (c) The Secretary Treasurer shall:
NEW Be authorized to manage expenses within the parameters of the overall approved budget, reporting to the Executive Board on variances and the reason for these variances.

NEW Prepare, and the Executive Board shall audit, on a monthly basis, a list of all payments made, including payee and purpose.

Section 2. (g) The President and the Secretary-Treasurer shall be the signatories to the Local’s financial accounts. The two signatures shall be required on the Local’s checks and all other disbursements of Local funds.

MMC (moved by Whitney) to offer a substitute proposal by striking "reporting to the Executive Board on variances and the reason for these variances."
